Website Development Agreement
This Website Development Agreement (the "Agreement") is made and entered into as of [DATE] (the "Effective Date"), by and between [CLIENT NAME] ("Client"), located at [CLIENT ADDRESS], and [SERVICE PROVIDER NAME] ("Service Provider"), located at [SERVICE PROVIDER ADDRESS].
WHEREAS, Client desires to have Service Provider develop a website (the "Website") according to certain specifications provided by Client, and Service Provider has agreed to perform such services.
NOW, THEREFORE, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
Services Provided. Service Provider shall provide website development services to Client in accordance with the specifications attached hereto as Exhibit A.
Deliverables. Service Provider shall deliver to Client the Website, which shall include all features and functionalities described in Exhibit A.
Payment. Client shall pay Service Provider the fees described in Exhibit B for the services provided hereunder.
Ownership Rights. Client shall own all right, title, and interest in and to the Website, including all intellectual property rights therein.
Confidentiality. Service Provider shall keep all information provided by Client confidential and shall not disclose such information to any third party without Client's prior written consent.
Warranties. Service Provider represents and warrants that it has the necessary expertise and resources to perform the services described herein and that the Website will be developed in a professional and workmanlike manner. Client represents and warrants that it has the legal right to provide Service Provider with the materials necessary to develop the Website.
Limitation of Liability. Service Provider's liability for any claim arising out of this Agreement shall be limited to the fees paid by Client to Service Provider under this Agreement.
Termination. Either party may terminate this Agreement upon written notice to the other party if the other party materially breaches any of its obligations hereunder.
Governing Law. This Agreement shall be governed by and construed in accordance with the laws of the State of [STATE], without giving effect to its conflicts of law principles.
Entire Agreement. This Agreement constitutes the entire agreement between the parties with respect to the subject matter hereof and supersedes all prior or contemporaneous agreements, understandings, and communications, whether written or oral.
